The Prospective Investor understands and acknowledges that he/she must qualify as an "accredited investor" before he/she can qualify for participation in the investment opportunities being offered by this company. In connection therewith, the Prospective Investor represents and warrants that he/she is an "accredited investor", as such term in defined in Rule 50 of Regulation D promulgated under the United States Securities Act of 1933, as amended (the "Act"), and as indicated by the Prospective Investor responses to the questions herein below. The Prospective Investor also represents and warrants that he/she is able to bear the economic risk of suffering an entire loss of his/her investment as a result of an investment in the company. The Prospective Investor represents that he/she has substantial prior business and investment experience, including investments in non-listed and non-registered securities, and that he/she recognizes the highly speculative nature of this type of investment. ALTERNATIVE TWO: The Prospective Investor (natural persons only) had an individual income in excess of $200,000 in 2001 and 2002 or joint income with that person's spouse in excess of $300,000 in such years and reasonably expects reaching the same income level in 2003;
ALTERNATIVE THREE: The Prospective Investor is any organization described in Section-501(c)(3) of the U.S. Internal Revenue Code, a corporation, a business trust, or partnership not formed for the specific purpose of acquiring Economic Interest in the Company, with total assets in excess of $5,000,000;
ALTERNATIVE FOUR: The Prospective Investor is a trust with assets in excess of $5,000,000, not formed for the specific purpose of acquiring an interest in the company, whose purchase is directed by a sophisticated person having such knowledge and experience in financial and business matters that he is capable of evaluating the merits and risks of an investment in the company; or
ALTERNATIVE FIVE: The Prospective Investor is an entity in which all of the equity owners meet one of the other criteria set forth in this paragraph.
